Supercap signs three deals in Portugal

Supercap Srl (“Supercap”), part of the Crealis group (“the Group”), is signing three strategic acquisitions in Portugal to expand its global presence and strengthen its market position. Supercap is the leader in Group’s BarTop division which provides closure solutions for spirits, olive oil and vinegars. Headquartered in Pesaro (Italy), Supercap also has a manufacturing facility in Guadalajara (Mexico) and counts over 600 employees overall. The company signed binding agreements in December 2022 to buy 100% of the share capital of three different companies based in Santa Maria de Feira (Porto, Portugal): Woodcap Industria de Capsulas de Madeira, Manuel Firinho & Filhos and Jesus Couto & Pereira.

Be bigger, to be better

The three companies combined employ almost 100 people and generated a total turnover in excess of €25m in 2022.This transaction will create a new industrial hub for Supercap in Portugal and expand the company’s product offering by notably adding natural cork products to its line. By providing the most comprehensive set of products to the spirits and condiments bottling industry, Supercap will further cement its position in the BarTop segment, whilst continuing to ensure the highest standards of quality and safety for its clients’products.

Through these transactions, Supercap expects to generate more than €100m in turnover in 2023 and increase its headcount to 800 employees, across its manufacturing plants in Italy, Portugal and Mexico. The closing of the 3 transactions is expected by the end of Q1 2023.

Supercap has been assisted for Financial, Legal and Tax DD, as well as for legal assistance by Pwc Italy, Pwc Portugal, and CRR Legal Portugal.

 

 

WOODCAP Indústria de Cápsulas de Madeira, LDA: Incorporated in 1998 and currently owned by the Soares Family, the company focuses its activities on the manufacturing of wooden capsules for the beverage industry. Woodcap is also subcontracted to perform finishing or customisation services of counterparties products. Woodcap has a headcount of 40 people, exporting over 50% of its production. Luis and Catia Soares will continue managing the company.

MANUEL FIRINHO, LDA: Founded by Manuel Pereira da Silva in 1974, the company was incorporated as a family-owned business under the current name in 2001. The Company focuses its activities in the assembled cork stoppers production for the beverage sector, specialising in all types of cork stoppers with different capsulated tops. Manuel Firinho’ headcount is 14. Export represents over 80% of the Company’s total revenue, with presence in several markets – among others – France, Australia, Turkey, Germany, Austria, U.S. and South Africa. The brothers, Ana, Pedro and Sara Pereira da Silva will continue to manage the company.

JESUS COUTO & PEREIRA, LDA: Founded in 2011 by Rui Pereira and Gorete Pereira, the company operates in the natural cork sector, producing cork stoppers with top cork capsules. The Company currently has a headcount of 36 people. More than 90% of the production is exported. Rui de Bastos Pereira and Gorete Couto Pereira will continue managing the company after closing.

SUPERCAP was founded in 1999 by Mr. Mirco BANNINI and is headquartered in Mombaroccio (Province of Pesaro) in Italy. Brand specialize in the design and marketing of innovative and high-end bartop closures. Nowadays, the company employs nearly 700 people and has 2 production sites across the world : Italy & Mexico. At present, SUPERCAP realizes more than 80% of its turnover on foreign markets.

SUPERCAP & CORCHOMEX, brands specializing in the design, production and sale of innovative T-closure, are joining the CREALIS group, the global leader in the production of capsules and closures solutions for the world of wines and spirits. Thus, SUPERCAP & CORCHOMEX, enrich the CREALIS group’s product portfolio by offering a wide and complementary range of high quality caps, mainly for the spirits but also for wines, olive oils and vinegars.

This is a new major step forward in the construction of Crealis group, whose main aim is to make our customers’ demands a key focus. In this way, the group pursuing its development process to propose an ever more extensive, innovative and sustainable range of capsules & closures solutions that meet the needs and expectations of its customers. SUPERCAP & CORCHOMEX will enjoy the R&D power of the Crealis group and new industrial investments tosupport their development.

Moreover, SUPERCAP & CORCHOMEX will continue to operate independently. Mr. Mirco Bannini, SUPERCAP’s current CEO, along with Messrs. Gerardo & Ivan Stobschinski, respectively General Manager Mexico and Director of Operations for the Guadalajara production site in Mexico, will continue to play an active, contributing role in these two companies. The agreement was completed on the 31st of January 2022 and the transaction was finalised on the 12th of April 2022.

Following this agreement, harnessing its 15 production sites worldwide with almost 1,800 members of staff, Crealis aiming to achieve consolidated sales of around €280 M in 2022 (322M$).

At present, SUPERCAP is mainly selling in Europe, while CORCHOMEX is selling in the entire American continent (north, central y south) and holds the no.1 position on the tequila market.

Intermonte acted as financial advisor to Supercap and its shareholders. ADVANT Nctm acted as legal advisor to Crealis Group, while Chiomenti acted as legal avisor to Supercap and its shareholders. E&Y acted as financial due diligence provider to Crealis.. Marsh provided insurance and environmental due diligence services.

CREALIS has concluded the purchase agreement of the Italian company Pe.Di on September 17th 2021. This alliance opens new international perspectives and also reinforces the group’s strategy to remain a local player through its local brands: ENOPLASTIC, SPARFLEX, LE MUSELET VALENTIN, RIVERCAP, VINTACAP, MAVERICK and now PE.DI. CREALIS integrates a complementary development model in order to be as close as possible to the needs of the market and to dynamize its economic model.

PE.DI

Pe.Di has been operating in the bottling closure sector since 1982, with particular attention to the high quality products used for secondary fermentation in the bottle.

In 2020, the company achieved a turnover of about 9 million euros, 80% of which was generated in foreign markets. Two production sites: one in Italy (Ivrea, Turin region) and one in France (Pierry, Champagne region). At the end of 2020, the company had 40 employees.
